We have extensive experience with counseling companies in technology licensing (inbound and outbound) transactions and relationships.   We also assist our clients with a range of commercial and corporate transactions, such as drafting and reviewing consulting agreements, customer agreements, development agreements, non-disclosure agreements, employment agreements, and lease and financing agreements.

Formation and Financing
We help clients form and organize their business entities, including counsel with initial and follow-on capital financing.  Projects range from forming one- or two-person lifestyle companies to forming high growth entities and handling related financing, which could involve friends and family, angels, venture capital, corporate partners  other complex financing transactions.

Joint Ventures and Strategic Alliances

Securities Compliance
Securities compliance needs are present in many types of transactions.  For example, early stage funding/venture capital and private placement transactions will require careful planning and coordination to comply with applicable state and federal securities regulations.  However, securities compliance needs will often arise in other corporate transactions, such as strategic alliance relationships, stock option plans, business acquisitions and divestitures.  We help companies to identify the appropriate transaction structures and comply with applicable securities regulations in their business transactions.

Mergers and Acquisitions
We counsel companies that wish to grow their business through acquisitions.  In addition, we counsel companies and founders who wish to combine with other businesses, or otherwise divest or liquidate their interests in a company.  We help with negotiation and structure, due diligence and preparation of merger, acquisition and divesting transaction documents.  We can most effectively counsel our client when we are engaged prior to negotiating a letter of intent.
